Job Description

The Assistant General Counsel reports to the Vice President Business Development and Chief Legal Officer and supports complex legal assignments for WNET and PMNJ. In addition, the Assistant General Counsel provides ongoing legal support for the strategic plan rollout providing legal advice to internal clients across the organization, including Finance, Development and Programming. The Assistant General Counsel also advises on mergers, consolidations and related transactions. Key responsibilities include:

  • Provide legal support for the PMNJ Board of Trustees and the NJ PBS Community Advisory Board including but not limited to preparation of the quarterly Board Books and other meeting materials, updating the annual Board of Trustees Handbook, amending by-laws and committee charters, as needed, and working with senior management to coordinate meeting logistics.
  • Ongoing legal support of the Strategic Plan rollout, including the National Digital Fundraising Project and agreements and related transactions for the YouTube channel.
  • Structure and negotiate agreements in support of the distribution of WNET production subsidiaries' content on-line and via other digital platforms.
  • Coordinate entity organization including assessing structural needs for legal compliance, conducting due diligence to identify potential risks, and legal implications associated with transactions.
  • Ensure adherence to regulatory standards and ongoing monitoring to ensure compliance with evolving legal frameworks.
  • Internal Legal Department support, including drafting memos and providing legal guidance.
  • Additional responsibilities as assigned.

Qualified candidates will have a J. D. degree with admission to the bar of New York. Additional qualifications include:
  • A minimum of 10 years relevant experience including at least five years in a private firm, media and/or in house legal experience;
  • Demonstrated expertise of laws/regulations pertaining to NY and NJ-based corporations/public charities;
  • Superior drafting skills (i.e. policies, resolutions, agreements, governing documents);
  • Excellent communication, negotiation and analytical skills.

Salary ranges are based on benchmarked nonprofit and industry related data provided by an outside consulting firm and are commensurate with skills and experience. The hiring salary range for this position is $195,000 - $210,000. Internal equity considerations will be reviewed before making a final offer.
