Job Description: Boutique firm in Real Estate, Trust Administration, and Estate Planning seeks a Commercial Real Estate and Business Paralegal to join their team. The ideal Commercial Real Estate and Business Paralegal possesses 3+ years of experience directly working in Commercial Real Estate and Business Law, has strong knowledge of drafting deeds, affidavits, agreements, and filings, and possesses an ABA-approved paralegal certificate.
Commercial Real Estate and Business Paralegal Job Duties:
* Prepare deeds with relevant county forms, calculate recording fees, and process affidavits of death.
* Draft and track transfer letters, assignments of business interests, and assignments of deeds of trust.
* Manage the mailing and tracking of executed deeds to My Legal Depot.
* Draft and organize business formation documents, including operating agreements, operations manuals, membership contribution schedules, and membership interest certificates.
* Prepare solvency certificates, subscription agreements, transfer ledgers, and lists of members and membership interests.
* File articles of organization, apply for EINs with the IRS, and handle registered agent designations.
* Coordinate consent to action in place of organizational documents.
* Provide support in estate planning matters as needed (training provided if no prior experience).
Commercial Real Estate and Business Paralegal Requirements:
* 3+ years of experience working in Commercial Real Estate and Business Law required
* ABA-approved Paralegal Certificate
* Possess a valid CA driver's license with car insurance
