The Senior Vice President (SVP), General Counsel, is the chief legal advisor to Cenlar's executive team and Board of Directors and reports directly to the Chief Executive Officer. This role involves overseeing our legal affairs, ensuring compliance with regulatory requirements, and providing strategic guidance on legal matters affecting the organization. The SVP, General Counsel leads the legal department, manages external legal resources, and drives the development and implementation of legal strategies to support the bank's business objectives.

Responsibilities:

  • Provides strategic legal counsel in order to help the organization navigate legal complexities to assist the Board and Management make informed decisions, develops and leads corporate legal strategy to promote and protect Cenlar that align with the law, while supporting the Cenlar's strategic objectives.
  • Identifies proactive solutions that will eliminate or mitigate risks
  • Overseeing the drafting, review, and negotiation of contracts and agreements entered by the Cenlar pertaining to mortgage servicing and banking that are designed to minimize risks and maximize legal rights
  • Manages logistics of board and committee meetings
  • Attracts, develops, directs, motivates and drives performance from the legal team
  • Keeps abreast of legislative changes and case law impacting the Company
  • Overseeing legal disputes and coordinating with external law firms when necessary to handle litigation matters and managing outside counsel
  • Supervising and delegating work to other In-House Counsel or Legal Assistants.
  • Ensures all activities are in accordance with company and regulatory risk and compliance requirements
  • Appropriately assess risk when business decisions are made, include but not limited to compliance and operational risk. Demonstrate consideration for Cenlar's reputation as well as our clients, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards.
Qualifications:
  • Juris Doctor (JD) and licensed member in good standing of the Bar of at least one U.S. state required
  • 12+ years of professional legal experience, including previous experience managing a legal department
  • Extensive knowledge of banking and mortgage servicing
  • Excellent organizational skills and ability to manage multiple large-scale complex projects enterprise-wide
  • Ability to conceptualize long-term business goals and develop orderly process of planning to accomplish goals
  • Present differing opinions and credibly challenge management while maintaining a high degree of professionalism
  • Outstanding communication skills, both oral and written, and the ability to communicate clearly at all levels of the organization
  • Strong leadership skills to inspire outstanding performance through collaboration
  • Strong customer service skills to effectively execute the strategic goals and mission of Cenlar, while demonstrating Key Success Factors
  • Effective listening, communication, and presentation skills to present complex topics to senior management in a persuasive manner
