We currently have an exciting career opportunity for a Manager to join our Restructuring and Dispute Resolution practice.
CohnReznick is a hybrid firm most of our professionals are located within a commutable distance to one of our offices. This position is considered remote which means it does not require job duties be performed within proximity of a CohnReznick office location. However, as a remote employee, you may be required to be present at a CohnReznick office with scheduled notice for client work, team meetings, or trainings.

This position will support our Restructuring & Dispute Resolution group. This group provides a wide suite of services to clients, giving you the opportunity to learn, grow, and build out your skills. As a member of this team, you'll interact with team members across all levels within the practice.

YOUR ROLE.
Responsibilities include but not limited to:
- Supporting Value360's growing Sale and Purchase Agreement (SPA) Advisory practice, and/or our Purchase Price Dispute practice
- Review M&A sale and purchase agreements, including the financial and accounting provisions, purchase price mechanism, purchase price adjustments, and post-closing dispute resolution process
- Support pre-signing negotiations and incorporate specific provisions and diligence findings into the purchase agreement
- Assist clients prepare closing balance statements
- Support purchase price disputes projects related to working capital, earnouts, and/or representation and warranties claims
- Support the drafting of written submissions and expert reports to the neutral accounting arbitrator in purchase price disputes; or the determination where a CohnReznick partner or managing director serves as the neutral accounting arbitrator
- Analyze financial and accounting documentation related to the application of accounting principles and historical accounting methodologies in the context of a purchase agreement
- Conduct GAAP research
- Coordinate with team and management regarding client expectations concerning project deliverables and deadlines
- Effectively write and communicate engagement reports and deliverables to client management
The successful candidate will have:
- 5+ plus years of transaction advisory or forensics experience at a national public accountancy or forensic accounting boutique
- Bachelor's degree in Accountancy, Finance, or related field
- CPA strongly preferred
- Strong current knowledge of US GAAP, transaction advisory, mergers and acquisitions, and/or litigation support
- Excellent analytical, problem-solving, and critical thinking determination skills
- Strong written and verbal communication and presentation skills
- Strong Excel and PowerPoint skills
- Strong project management with the ability to work on multiple projects simultaneously in a team-oriented environment
- Ability to work additional hours as needed and travel out-of-town to clients as required
- Action-oriented, decisive approach to work required, with the willingness to take a hands-on role to ensure the deliverables are met on time
